Xceed is a new package from DPOS which is targeted at AIM and Small Cap companies and aims to take all the hassle out of complex costings and website builds.

Although the printed annual report is by no means dead, with the Companies Act 2006 enabling more companies to communicate with their shareholders by electronic means, there is an increasing focus on presenting the annual report online, in addition to sending out the hard copy report. Online reports provide endless opportunities to present the annual report content in a more interesting and dynamic way, with a more enhanced web experience overall. This means that more and more stock exchange quoted companies are launching an online report (or micro-site of their annual report) on their corporate/IR websites at the same time as their hard copy reports land on shareholders’ doorsteps. Companies are also digitising their CSR reports in the same way.

Aim Rule 26

In August 2007, AIM Rule 26 was introduced for all AIM companies to ensure that information is presented on corporate websites accurately and in a timely fashion. As the first port of call for investors, analysts and other stakeholders, the website is by far the best means of research on a company, so it is important that the investment picture is presented clearly and with transparency.

Design Portfolio Online Services can work with you to ensure you are including all of the required information on your site and will remind you when updates are needed.

We work to the following checklist:

Company information

  • Description of the business or investment strategy for investment companies
  • Directors' names, biographies, responsibilities and committees
  • Country of incorporation and main country of operation (disclaimer required if non-UK)
  • Details of NOMAD and key company advisers

Securities information

  • Details of current and future exchanges and platforms on which securities are traded
  • The number of securities in issue (noting those held in treasury) updated every six months
  • The percentage of securities not in public hands (where known) updated every six months
  • Identity and percentage holding of significant shareholders updated every six months
  • Details of any restrictions on the transfer of AIM securities

Documentation and announcements

  • Public documents including prospectus, admissions documents and articles of association
  • The most recent annual report and accounts
  • The most recent interim report
  • Any publications or communications sent to shareholders within the last twelve months

General requirements

  • The website should belong to the AIM company but may be hosted and managed by a third party
  • The website should be kept up to date and should display the date it was last updated
  • A declaration should be made stating that the information is being disclosed in accordance with Rule 26.
  • All required information should be easily accessible from the same area of the website
  • A website visitor should not need to use a search facility to find any of this information
